Terms of Service

1Overview

Behery Dental is a workflow, case-design, and production-file platform for dental clinics performing dental restoration treatment — including crowns, bridges, veneers, dentures, implant restorations, inlays/onlays, clear aligners, retainers, night guards, and surgical guides. A dental clinic signs up as an organization, invites its own team members under role-based access, and uses the Platform to submit cases for Behery Dental to design and prepare production files, or to track cases the clinic handles itself. Cases move through a tracked workflow from intake through reviewed files and delivery, while case files, treatment plans, and case-related messages are stored in one place.

Behery Dental is not a medical provider, does not offer clinical advice, and does not assume responsibility for treatment outcomes. The Platform provides:

• Organization and team-member accounts with role-based permissions
• A case queue and status-tracked workflow from intake through delivery
• Treatment plan submission, review and approval tracking
• Secure, access-controlled case file storage
• Case-scoped messaging between your clinic team and Behery Dental's design/production team
• Case-by-case scoping for design and production-file preparation, with fabrication handled by your clinic or an independent manufacturer you choose

For cases scoped to Behery Dental for design and production files, Behery Dental performs that work and is paid directly by your clinic under your subscription plan and any applicable case charges — see Section 6. Behery Dental does not manufacture physical devices.

2Eligibility

You may use the Platform only if you:

• Are legally able to enter into contracts, on your own behalf or on behalf of the organization you represent, in your country
• Represent a legitimate dental clinic, appropriately licensed to practice dentistry in your jurisdiction, and appropriately licensed or qualified to perform any fabrication work you retain in-house or arrange with a suitable third party
• Comply with all applicable dental/medical regulations in your region
• Do not use the Platform to bypass regulatory requirements

We may suspend or remove organizations or individual team members for non-compliance.

3Nature of the Service

Behery Dental is workflow, design, and production software for dental clinics — not a clinical service provider and not a marketplace. We do not:

• Provide orthodontic or dental treatment
• Diagnose patients or select a course of treatment
• Make clinical or treatment-planning judgments on behalf of the treating dentist
• Supervise patient care

For cases a clinic submits to Behery Dental for design and production files (see Section 1), Behery Dental prepares those files according to the prescription and treatment plan that the clinic's own licensed treating dentist has reviewed and approved. Behery Dental does not manufacture restorations or appliances. The clinic decides whether to fabricate in-house or use an independent third-party manufacturer, and remains responsible for that selection and oversight. Behery Dental does not warrant or independently verify the clinical appropriateness of the treatment plan itself — that clinical judgment remains the treating dentist's.

Clinic organizations remain fully responsible for:

• Diagnosis, treatment selection, and all other clinical decisions
• Patient consent
• Regulatory compliance
• Reviewing and approving the accuracy of treatment plans, case files, and instructions before submitting or approving them
• Clinical oversight of the case and delivery/fit of any device to the patient
• Fabrication safety, quality and regulatory compliance for any portion of a case the clinic performs in-house or contracts to a third party

4Organization Accounts & Team Members

Access to the Platform is organized around organization accounts — one per dental clinic — rather than individual accounts. An organization's owner or admin invites teammates, who are added as org members under a role (owner, admin, or member) that determines what they can see and do.

• The organization is responsible for who it invites, what role it grants them, and for removing access when a teammate leaves
• Team members act on behalf of the organization that added them; the organization is responsible for its members' use of the Platform

5User Responsibilities

Clinic organizations. You agree to:

• Ensure proper patient consent before uploading case files or case information
• Only submit an identifier for the patient (e.g., initials and a case number), not the patient's full legal name or other full patient records, in the Platform's case fields — the Platform is intentionally not designed to hold a complete patient record; keep that in your own practice management / EHR system
• Verify the accuracy and safety of information submitted with a case, and review treatment plans before approving them
• Follow local and national regulations relating to patient data and medical devices
• Maintain responsibility for treatment outcomes
• For any portion of a case fabricated in-house or by a third party you choose, act within your organization's training, licensing, and competence and retain responsibility for your manufacturer selection and any applicable manufacturer-of-record obligations

6Platform Subscription & Billing

Every clinic organization is linked to a monthly subscription plan (a plan name, monthly price, number of included seats, an included case-volume allowance, and a standard per-case overage price). Behery Dental staff activate or change an organization's plan — an organization cannot self-select or change its own plan — after agreeing on pricing directly with the clinic.

Billing is manual:

• Behery Dental staff generate an invoice for the organization (optionally tied to its plan), which produces a secure hosted payment-link page showing the amount due and how to pay
• The organization pays through that payment link or by whatever other means was arranged
• Behery Dental staff mark the invoice paid by hand once payment is confirmed; there is no automatic recurring billing, no payment processor integration, and no payment method stored on file with Behery Dental

If an organization exceeds its plan's included case volume in a calendar month, the excess is billed at that plan's standard per-case overage rate. Overage charges are also handled manually, by invoice — never charged automatically.

7Third-Party Tools & Integrations

The Platform relies on third-party infrastructure providers to operate (for example, hosting/database and transactional email — see our Data Processing Agreement for the current list). Behery Dental:

• Does not own these tools
• Does not guarantee their performance
• Is not responsible for costs organizations incur with their own third-party software (e.g., a practice management system or CAD tools) outside the Platform

8Intellectual Property

• Clinic organizations own the case data, treatment plans, and files they submit
• Behery Dental owns the Platform, its workflow tooling, its design and production methodology, and related IP
• Organizations grant Behery Dental a licence to use de-identified, aggregated data to operate, support, and improve the Platform

9Prohibited Use

You must not:

• Upload full patient records or other data beyond what the Platform is designed to hold (see Section 5) without consent, or in violation of applicable law
• Reproduce or share another organization's confidential information outside the Platform
• Misrepresent your organization's qualifications, licensing, or identity
• Upload malicious files
• Attempt to reverse-engineer the Platform

10Limitation of Liability

To the maximum extent permitted by law:

• Behery Dental is not liable for treatment outcomes, diagnosis, treatment selection, or other clinical decisions made by the treating dentist, or for a clinic's regulatory compliance failures
• For cases Behery Dental designs and prepares production files for, our responsibility is limited to delivering those files consistently with the treatment plan and prescription the clinic's licensed dentist has approved; fabrication remains outside Behery Dental's scope
• Behery Dental provides the Platform "as-is" without guarantees
• Our total liability is limited to the subscription and case fees your organization paid Behery Dental in the past 12 months

11Suspension or Termination

We may suspend or terminate an organization's account, or an individual team member's access, where the organization or that member:

• Violates these Terms
• Breaches laws or ethical standards
• Presents clinical risk
• Misuses the Platform
• Fails to pay an invoice for the Platform subscription

You may stop using the Platform at any time.

12Governing Law

These Terms are governed by the laws of [TO BE DETERMINED], without regard to conflict of law principles.

Disputes with Behery Dental about the Platform service itself will be resolved through good-faith negotiation before legal action. Any legal proceedings shall be brought in the courts of [TO BE DETERMINED].

13Updates

We may update these Terms as we expand the Platform. Changes will be posted on the website with a new effective date.
